By requesting access to the Virgin Media Business Wholesale Marketing Zone you are agreeing to join Our Virgin Media Business Partner Programme.
Below We explain how, as part of the Partner Programme, You can accrue funds from Us to supplement Your marketing budget (the "Virgin Media Business Funding"), for how long the Virgin Media Business Funding is valid and how you can use the Virgin Media Business Funding in the Virgin Media Business Wholesale Marketing Zone.
Partners
Your designated tier of partnership will be determined by Us based predominantly on your annual spend (total contract value (TCV) of all Your orders) on Our products, in the preceding calendar year (the "Qualifying Spend").
Gold Partners have a Qualifying Spend which is greater than £1,500,000; and
Silver Partners have a Qualifying Spend which is greater than £500,000.
You shall remain in the designated tier for the duration of the calendar year.
We will encourage You to move to a higher tier and will discuss movement with You via Your Account Manager or DBAM,
We reserve the right to downgrade Your designated tier where your Qualifying Spend is insufficient, Your reporting is not full and complete or for any other reason.
Requesting Virgin Media Business Funding
Gold and Silver Partners are able to submit a request for Virgin Media Business Funding, to undertake marketing activity that is available in the Virgin Media Business Wholesale Marketing Zone.
Requests will be reviewed and approved or rejected by Us within 3 working days.
If a Request is approved and subject to the caps set out below, We will provide funding that shall be equal or, at our discretion, less than the funding spent by You in the Virgin Media Business Wholesale Marketing Zone.
Virgin Media Business Funding will be capped, at a percentage of your total spend (total contract value (TCV)) on Virgin Media Business products in the preceding calendar year
Gold Partners – 1%
Silver Partners – 0.5%
Bronze partners may execute marketing campaigns and marketing activity through the Virgin Media Business Wholesale Marketing Zone but are not eligible for Virgin Media Business Funding.
Virgin Media Business Funding must be utilised within the calendar year.
By way of an example a Gold partner who had sold £2,000,000 of Our products/services, in the period January to December 2009, would accrue £20,000 in Virgin Media Business Funding (1% of TCV) to spend during the 2010 calendar year. To access the Virgin Media Business Funding, the partner must spend an equal amount of its own funds in the Virgin Media Business Wholesale Marketing Zone.
You agree to provide:
monthly reports to Us (using the designated area on the Virgin Media Business Wholesale Marketing Zone) on all leads generated through Your campaign activity; and
monthly updates via the account manager on all quotes, and closed business arising from the campaign as a condition of funding.
We reserve the right, at our absolute discretion, to reject any requests for Virgin Media Business Funding.
Data Purchased via the Virgin Media Business Wholesale Marketing Zone
Data purchased through the Virgin Media Business Wholesale Marketing Zone becomes Your property for the duration of your license to use such data.
This Licence is provided to you by Astute Limited ("Astute") under the terms of a twelve month licence agreement with Astute. Data is released to you by Astute upon return to Astute of the signed licence agreement.
Any Data that is checked via our 'connected buildings service – will be flagged with a 'connected building flag'. We try our best to ensure that this 'connected buildings' Data is accurate but it may be incomplete, contain errors or be out of date and the Data is always subject to site survey.
We assume no further liability or responsibility for the Data you acquire from Astute through the Virgin Media Business Wholesale Marketing Zone.
Making Payment
Appropriate credit card, cheque and or PO numbers must be provided before Astute will be able to execute a campaign. Virgin Media Business Funding can only be used on the campaign packages, bespoke lead generation or data purchases through the Virgin Media Business Wholesale Marketing Zone.
Virgin Media Business Funding will be paid directly to Astute by Us. Only once funding has been received by Astute from both You and Us will the campaign activity commence.
General
Virgin Media Business Funding is available at Our discretion and we do not give any contractual commitment that Virgin Media Business Funding will be available even where the qualifying guidelines set out above are met. We reserve the right to cancel any payment at any stage and to withdraw the Partnership Programme without notice.
We will not be liable whether in contract, tort or otherwise for any loss or damage which:
arises other than where We or Our agents have been negligent; or
is not a reasonably foreseeable consequence of Our negligence; or
is any business loss including loss of revenue or profits or anticipated savings or wasted expense or data being lost or harmed or for any indirect, special or consequential loss or damage of any kind arising from access to or any use of the information and material contained on this site or any site you may access through this site.
We do not restrict or exclude Our liability for:
personal injury or death directly caused by Us or Our employees whilst acting in the course of their employment with Us or for fraud;
physical damage to your personal property up to £100,000 due to any one event or series of connected events where such damage is due to our negligence or the negligence of our employees, agents or contractors acting in the course of their employment with Virgin Media Business;
any of Our liabilities which cannot by law be excluded or restricted.
The meaning of the word partner or partnership in these Terms does not give rise to a partnership as defined in the Partnership Act 1890, association or joint venture of any kind. Nothing in these Terms authorises either party to act as an agent on behalf of the other.
Unless You have ticked the relevant box or You notify Customer Services in writing at the address set out below, We may:
use information provided by You to supply You with information about other products or services We or a member of Our group have available; and
provide information supplied by You to third parties to enable them to supply You with information about their products or services.
By participating in the Partner Programme you are providing Your consent for Us to use Your personal information together with other information for the purposes of administering the Partner Programme, providing information about the Partner Programme and other services that may be of interest to you, customer services, tracking use of Our Service(s), profiling your usage for so long as You are a customer and for as long as is necessary for these specified purposes after you cease being part of the Partner Programme. Occasionally Our agents and other third parties may be used to process your personal information in the ways outlined in these Terms. These third parties are permitted to use the data only in accordance with Our instructions.
We may use any information supplied by You for:
the purposes set out in this these Terms;
other purposes for which You give Your specific permission, or
any other purpose required by Law.
We shall be entitled to disclose information provided by You to any member of Our Group or our selected agents.

When written notice is required, Notices We send to You may be sent:
by hand or by post to Your billing address or to Your registered office; or
by fax to the number as notified to Us;
by electronic mail to the address as notified to Us; or
Notice given by hand shall be deemed given the same day. Notice given by post shall be deemed to have been given 3 days after the date of posting. Notice given by fax shall be deemed given when transmitted provided that the sender shall have received a transmission report confirming correct transmission.
The above Terms represent the entire understanding between the You and Us in relation to the Partner Programme and shall replace and override all other representations (except fraudulent misrepresentations) made by Us, whether oral or written regarding it. In particular We shall not be bound by any oral or written representation (except fraudulent misrepresentation) made by Our agents or representatives unless specifically incorporated into any terms or agreement, in writing.
It is not intended that the above Terms shall be enforceable by any person other than You or Us. No third party shall have any rights under the Contracts (Rights of Third Parties) Act 1999.
The above Terms shall be governed by and construed in accordance with the laws of England and the Parties agree to submit to the exclusive jurisdiction of the English Courts
